Terms of Service
1. Introduction
Welcome to Cached Entity ("the Service"). These Terms of Service ("Terms") govern your use of the Service, including integrations with Microsoft Dynamics 365 and other connected services. By accessing or using the Service, you agree to be bound by these Terms.
If you are listing or using this application through the Microsoft Commercial Marketplace, additional Microsoft policies may apply.
2. Eligibility
You must:

Be at least 18 years old.

Have the authority to enter into these Terms on behalf of your organization.

Use the Service in compliance with all applicable laws and Microsoft requirements.
3. Description of the Service
The Service provides integration capabilities between Dynamics 365 and other third‑party or custom systems. Functionality may include data synchronization, API communication, automation, logging, error handling, and environment administration.
We may update or modify features at any time, including to maintain compliance with Microsoft policies or security best practices.
4. Account Registration and Access
To use certain features, you may be required to create an account or authenticate using Microsoft Azure Active Directory ("Azure AD"). You are responsible for:

Maintaining the confidentiality of your credentials.

Ensuring no unauthorized access occurs.

Immediately notifying us of any suspected breach.

5. Customer Data
"Customer Data" refers to all data you connect, sync, or transmit through the Service, including data originating from Dynamics 365.
You retain ownership of Customer Data. By using the Service, you grant us a limited right to process Customer Data solely for the purpose of operating and improving the Service.
We do not sell or share Customer Data with third parties except as required:

To provide the Service (e.g., hosting providers),

By law or legal request,

To maintain security.
6. Use Restrictions
You agree not to:

Reverse engineer, decompile, or modify the Service.

Use the Service to create competing products.
-
Attempt unauthorized access to Microsoft systems or APIs.

Transmit harmful or illegal content.

Exceed rate limits or misuse Microsoft or other third party API endpoints.
Microsoft and other third party API usage is subject to their own terms and restrictions.

7. Service Availability and Support
We strive to maintain high availability but do not guarantee uninterrupted operation. Maintenance windows may occur.
Support may be provided via email, ticketing system, or Microsoft Marketplace channels, depending on your subscription level.
8. Third-Party Services
The Service may depend on third-party APIs, including Microsoft Dynamics 365, Azure, and other external systems.
We are not responsible for downtime, issues, changes to APIs, or data loss caused by third‑party systems.
9. Fees and Billing
If the Service or any component is offered as a paid plan through the Microsoft Marketplace, billing is handled by Microsoft.
You agree to:

Pay all applicable fees,

Maintain accurate billing information,

Accept recurring billing charges if applicable.
Failure to pay may result in suspension or termination.
10. Security
We implement industry-standard security controls to protect Customer Data. However, no system is completely secure.
You are responsible for:

Configuring integrations securely,
-
Managing user access in Microsoft Dynamics 365 and Azure AD,
-
Ensuring data compliance based on your industry regulations.
11. Data Retention & Deletion
We may retain logs or integration metadata as required for troubleshooting and compliance. Upon service cancellation, Customer Data processed through the Service may be deleted according to our retention policies.
12. Compliance and Certifications
The Service may adhere to certain compliance standards (e.g., GDPR, SOC, ISO) depending on your region and licensing. These may evolve over time. You are responsible for ensuring your organization’s use meets any regulatory requirements.
13. Modifications to the Terms
We may update these Terms at any time. Continued use after changes constitutes acceptance. We will notify you through the Service or Microsoft Marketplace when material changes occur.
14. Termination
We may suspend or terminate access if you:

Violate these Terms,

Misuse Microsoft systems,

Fail to pay required fees, or
-
Pose a security or compliance risk.
You may terminate your subscription through the Microsoft Marketplace at any time.
Upon termination, your access to integrations and processed data may be disabled.
15. Limitation of Liability
To the fullest extent permitted by law:

The Service is provided "as is" without warranties.

We are not liable for indirect, incidental, or consequential damages.

Our total liability for any claim will not exceed the amount paid for the Service in the last 12 months.
16. Indemnification
You agree to indemnify and hold us harmless from claims arising from:

Misuse of the Service,

Violation of Microsoft terms,
-
Breach of these Terms.
17. Governing Law
These Terms are governed by the laws of the jurisdiction where our company is legally established, without regard to conflict-of-law principles.
